LEGAL & SERVICE GOVERNANCE

Terms of Service

These Terms of Service ("Terms") govern your access to and use of Staffluma services, including the Staffluma mobile application distributed on Google Play (package com.staffluma.app), our web workspace, and related workforce management features operated by Nocturnals Intellisoft Limited.

Effective Date: November 5, 2026 Last Updated: November 5, 2026 Public URL: https://staffluma.com/terms Version 1.0

01. Introduction

By downloading, installing, accessing, or using Staffluma, you agree to these Terms. If you do not agree, do not use the services.

Staffluma is a business workforce management platform. Most users access Staffluma through an account provisioned by their employer or other subscribing organization ("Customer"). These Terms apply together with any order form, master services agreement, or similar commercial agreement between Staffluma and the Customer, and with our Privacy Policy.

02. Who We Are

"Staffluma," "we," "us," and "our" refer to the Staffluma product brand and services operated by Nocturnals Intellisoft Limited, a company providing software and workforce technology services. Our public website is https://staffluma.com.

Trader status (Google Play)

Staffluma is offered in a business and professional context. Nocturnals Intellisoft Limited acts as a trader (business) for purposes of distributing the Staffluma mobile application on Google Play. Where consumer protection laws do not apply to business-to-business use, users in the European Economic Area and United Kingdom may be informed accordingly in the app store listing.

03. Scope of These Terms

These Terms apply to:

  • The Staffluma mobile application for Android and iOS (including builds distributed via Google Play and other authorized channels);
  • The Staffluma web application and authenticated workspaces used by Customer organizations;
  • Related APIs, integrations, documentation, and support channels made available by Staffluma; and
  • Public marketing pages on staffluma.com only where they describe or link to product use (subject also to website policies where noted).

Features available to you depend on your role, your Customer's subscription, and regional rollout. Illustrative marketing content does not by itself create a service commitment.

04. Eligibility & Authorized Access

You may use Staffluma only if you are authorized by a Customer to do so and you have legal capacity to enter into a binding agreement, or your use is permitted under applicable law with appropriate consent (for example, where you act on behalf of an organization).

Staffluma is not intended for children. If you are under the age required to consent to online services in your jurisdiction, you may not create an account unless your organization and applicable law authorize supervised workforce use.

05. Accounts, Credentials & Security

You are responsible for safeguarding login credentials and for activity under your account except where caused by Staffluma's failure to maintain reasonable security measures.

  • Do not share passwords or authentication tokens with unauthorized persons;
  • Notify your administrator or Staffluma support promptly if you suspect unauthorized access;
  • Use only credentials issued to you; impersonation or unauthorized access to another user's account is prohibited;
  • Comply with your Customer's security policies, including device and network requirements.

06. Relationship With Your Organization

If you use Staffluma as an employee, contractor, or other authorized user of a Customer, your organization controls much of the data in the service and may configure roles, approvals, and retention. Questions about employment, payroll outcomes, disciplinary actions, or HR decisions belong to your organization, not Staffluma.

Staffluma processes workforce data on instructions from the Customer as described in our Privacy Policy. Your organization is typically responsible for providing legally required notices to workforce users.

07. Acceptable Use

You agree not to:

  • Violate applicable law, regulation, or third-party rights;
  • Probe, scan, or test vulnerabilities except with written authorization;
  • Interfere with service integrity, including by excessive automated requests or malware;
  • Reverse engineer or attempt to extract source code except where permitted by law;
  • Upload unlawful, harassing, or infringing content through service features;
  • Misrepresent your identity, role, or affiliation;
  • Use the service to build a competing product using unauthorized access to Staffluma systems.

We and your Customer may monitor usage for security, audit, and compliance purposes as described in the Privacy Policy and your organization's policies.

08. Staffluma Mobile Application

The Staffluma mobile app connects to your organization's Staffluma environment. Network access, permissions (such as notifications, camera, or location where enabled for workforce features), and background behavior follow your device settings and in-app disclosures.

  • You obtain the app through Google Play, Apple App Store, or other channels we authorize. Store terms may also apply.
  • Updates may be required for security or compatibility. Continued use after updates constitutes acceptance of the updated app where permitted by store rules.
  • Offline or cached data may be limited; critical actions may require connectivity and server validation.
App identity

Application name: Staffluma. Android application ID: com.staffluma.app. iOS bundle identifier: com.staffluma.app.

09. Subscriptions, Fees & Trials

Staffluma is generally licensed to Customer organizations rather than sold directly to individual workforce users through the mobile app. Fees, billing cycles, renewals, and taxes are defined in agreements between Staffluma and the Customer.

If we offer a free trial, beta, or preview feature, it is provided "as is," may be withdrawn at any time, and may be subject to additional terms communicated at enrollment.

10. Intellectual Property

Staffluma and its licensors retain all rights in the service, software, branding, documentation, and related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the service according to your authorization and applicable commercial terms.

Customer data and content submitted by or on behalf of a Customer remain owned by the Customer or its licensors. You grant Staffluma the rights necessary to host, process, and display such content to provide the service.

11. Third-Party Services

The service may integrate with or link to third-party services (for example, identity providers, cloud infrastructure, maps, or payment processors used by Customers). Staffluma is not responsible for third-party terms, privacy practices, or availability except where required by law.

12. Disclaimers

To the maximum extent permitted by applicable law, the service is provided on an "as is" and "as available" basis. Staffluma disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement unless a written agreement with a Customer states otherwise.

Staffluma does not provide legal, tax, accounting, or HR advice. Payroll calculations, compliance workflows, and operational outputs depend on Customer configuration and human review. Customers remain responsible for lawful workforce and payroll decisions.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Staffluma and its affiliates, directors, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to the service.

Where liability cannot be excluded, our aggregate liability arising from or relating to the service will not exceed the greater of (a) amounts paid by the applicable Customer to Staffluma for the service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred United States dollars (USD 100) for individual workforce-user claims where no separate commercial agreement applies—except where mandatory law requires otherwise.

14. Indemnification

If you use the service in violation of these Terms or applicable law, you agree to indemnify and hold harmless Staffluma against claims, damages, and reasonable costs (including legal fees) arising from that misuse, except to the extent caused by Staffluma's gross negligence or willful misconduct.

Customers typically assume broader indemnity obligations under their commercial agreements with Staffluma.

15. Suspension & Termination

We may suspend or terminate access to protect the service, comply with law, or respond to Customer instructions, with or without notice where reasonable. Your Customer may deactivate your account at any time.

Upon termination, your right to use the service ends. Provisions that by nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

For personal data deletion requests, see our Account and Data Deletion page and Privacy Policy.

17. Changes to These Terms

We may update these Terms to reflect product, legal, or operational changes. When we make material updates, we will revise the "Last Updated" date on this page and, where appropriate, provide additional notice through the app, workspace, or Customer administrators.

Continued use after the effective date of updated Terms constitutes acceptance where permitted by law. If you do not agree to updated Terms, you must stop using the service and contact your administrator.

18. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law rules, except where mandatory consumer or employment laws in your jurisdiction provide otherwise.

Disputes should first be raised with [email protected]. If not resolved informally, disputes may be submitted to competent courts in Kenya or another forum specified in a Customer agreement.

EEA & UK users

If mandatory law in your country of residence grants you non-waivable rights, those rights remain unaffected. Nothing in these Terms limits rights that cannot be limited under applicable consumer protection rules where they apply.
